1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the CypHR Solutions website and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

These Terms constitute a legally binding agreement between you (whether as an individual or on behalf of an entity) and CypHR Solutions regarding your use of our Services.

2. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. The most current version of these Terms will be posted on our website with the "Last Updated" date at the top. Your continued use of our Services after any such changes constitutes your acceptance of the new Terms.

It is your responsibility to check our website periodically for changes. If you do not agree to any of the changes to our Terms, you must stop using our Services.

3. Services Description

CypHR Solutions provides human resources management services, including but not limited to talent acquisition and recruitment, employee development and training, and HR policy and compliance management. The specific services provided will be outlined in a separate Service Agreement between you and CypHR Solutions.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice or liability.

4. Account Registration and Security

Some of our Services may require you to create an account. When you register for an account, you agree to provide accurate, current, and complete information and to keep this information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.

5. User Conduct

In using our Services, you agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use our Services for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any portion of our Services or any other systems or networks connected to our Services

6. Intellectual Property

Our Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by CypHR Solutions, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms do not grant you any rights to use our trademarks, logos, domain names, or other brand features without our prior written consent.

7. User Content

You may be able to submit, post, or display content on or through our Services ("User Content"). You retain ownership of any intellectual property rights that you hold in that User Content.

By submitting, posting, or displaying User Content on or through our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content for the purpose of providing and improving our Services.

You represent and warrant that you own or have the necessary rights to the User Content you submit and that such User Content does not infringe any intellectual property or other rights of any third party.

8. Confidentiality

In the course of providing our Services, we may receive or have access to your confidential information. We agree to use reasonable measures to maintain the confidentiality of this information and not to disclose it to any third party except as necessary to provide our Services or as required by law.

Similarly, you agree to maintain the confidentiality of any proprietary information we share with you in connection with our Services.

10. Payment Terms

Fees for our Services will be outlined in a separate Service Agreement between you and CypHR Solutions. Payment terms, including methods of payment, billing cycles, and refund policies, will also be specified in the Service Agreement.

All fees are exclusive of taxes, which you are responsible for paying. You agree to provide accurate and complete billing information.

11. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

Upon termination, your right to use our Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Disclaimers

Our Services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our Services will be uninterrupted or error-free, that defects will be corrected, or that our Services or the servers that make them available are free of viruses or other harmful components.

13. Limitation of Liability

To the maximum extent permitted by applicable law, CypHR Solutions and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use our Services
• Any conduct or content of any third party on our Services
• Any content obtained from our Services
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims exceed the amount paid by you to us during the twelve (12) months preceding the event giving rise to the liability.

14. Indemnification

You agree to defend, indemnify, and hold harmless CypHR Solutions and its affiliates, officers, employees, agents, partners, and licensors from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of our Services, your violation of these Terms, or your violation of any third-party rights.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Cyprus.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

17. Entire Agreement

These Terms, together with any Service Agreement entered into between you and CypHR Solutions, constitute the entire agreement between you and us regarding our Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning our Services.
